TORONTOApril 24, 2018 /CNW/ – (TSXV: FGD), (the “Company” or “FGD“) announces that it will be unable to file by April 30, 2018 its annual audited consolidated financial statements and Management Discussion & Analysis (“MD&A“) for the Company’s financial year ended December 31, 2017 (“2017 Financial Disclosure“), as required by National Instrument 51-102 – Continuous Disclosure Obligations and the related CEO and CFO certifications (the “Certifications”) required pursuant to National Instrument 52-109 – Certification of Disclosure in Issuer’s Annual and Interim Filings. 

The delay is due to a revenue recognition issue that was first press released by the Company on April 17, 2018. The process for addressing such issue will include working with existing licensees to amend license agreements, where possible, to address revenue recognition concerns. The Company will also be changing from its current auditor to a national audit firm. The entire process will require the Company additional time to work with both existing licensees as well as the new auditor in order to complete the audited consolidated financial statements. The Company anticipates having its 2017 Financial Disclosure as soon as possible and anticipates, in any event, filing such by the end of June, 2018.

Accordingly, the Company proposes to apply for a management cease trade order effective April 30, 2018 preventing all insiders of the Company from trading, directly or indirectly, in the securities of the Company (except as otherwise authorized by applicable securities regulators), which will remain in place until the above-noted documentation has been filed, in accordance with the provisions of National Policy 12-203 – Cease Trade Orders for Continuous Disclosure Defaults (“NP-12-203“). Until its annual consolidated financial statements, MD&A and related Certifications are filed, the Company intends to satisfy the provisions of the Alternative Information Guidelines set out in NP-12-203.

First Global Data to Provide Mobile Payments for Chinese Vacationers to USA

TORONTOJan. 16, 2018 /CNW/ – First Global Data (“First Global” or the “Company”) is very pleased to announce that it has entered into a Definitive Agreement with China Smartpay to deliver cross border payment solutions for Chinese vacation travelers and students studying overseas. On September 26, 2017 the Company announced that it had entered into a binding MOU with China Smartpay.

First Global’s implementation team has also recently returned from Shanghai and is working closely with China Smart Pay to implement the solution.

The service will allow WeChat users in China to travel to the United States, shop at a US retail location, and purchase goods using the funds on their WeChat mobile wallet. There are close to 1 billion users on the WeChat mobile platform globally and as noted in the September 26, 2017 press release, in 2015 “Chinese shoppers bought almost half of the world’s luxury goods”…”The outbound Chinese tourist numbers reached 120 million in 2015″…and “Chinese consumers spent 1.2 trillion yuan ($183 billion)“. Bank of Canada Raises Interest Rates 25 Points and Admits Economy More Sensitive than Before

The Bank of Canada today increased its target for the overnight rate to 1 1/4 per cent. The Bank Rate is correspondingly 1 1/2 per cent and the deposit rate is 1 per cent. Recent data have been strong, inflation is close to target, and the economy is operating roughly at capacity. However, uncertainty surrounding the future of the North American Free Trade Agreement (NAFTA) is clouding the economic outlook.

The global economy continues to strengthen, with growth expected to average 3 1/2 per cent over the projection horizon. Growth in advanced economies is projected to be stronger than in the Bank’s October Monetary Policy Report(MPR). In particular, there are signs of increasing momentum in the US economy, which will be boosted further by recent tax changes. Global commodity prices are higher, although the benefits to Canada are being diluted by wider spreads between benchmark world and Canadian oil prices.

In Canada, real GDP growth is expected to slow to 2.2 per cent in 2018 and 1.6 per cent in 2019, following an estimated 3.0 per cent in 2017. Growth is expected to remain above potential through the first quarter of 2018 and then slow to a rate close to potential for the rest of the projection horizon.

Consumption and residential investment have been stronger than anticipated, reflecting strong employment growth. Business investment has been increasing at a solid pace, and investment intentions remain positive. Exports have been weaker than expected although, apart from cross-border shifts in automotive production, there have been positive signs in most other categories.

Looking forward, consumption and residential investment are expected to contribute less to growth, given higher interest rates and new mortgage guidelines, while business investment and exports are expected to contribute more. The Bank’s outlook takes into account a small benefit to Canada’s economy from stronger US demand arising from recent tax changes. However, as uncertainty about the future of NAFTA is weighing increasingly on the outlook, the Bank has incorporated into its projection additional negative judgement on business investment and trade.

The Bank continues to monitor the extent to which strong demand is boosting potential, creating room for more non-inflationary expansion. In this respect, capital investment, firm creation, labour force participation, and hours worked are all showing promising signs. Recent data show that labour market slack is being absorbed more quickly than anticipated. Wages have picked up but are rising by less than would be typical in the absence of labour market slack.

In this context, inflation is close to 2 per cent and core measures of inflation have edged up, consistent with diminishing slack in the economy. The Bank expects CPI inflation to fluctuate in the months ahead as various temporary factors (including gasoline and electricity prices) unwind. Looking through these temporary factors, inflation is expected to remain close to 2 per cent over the projection horizon.

While the economic outlook is expected to warrant higher interest rates over time, some continued monetary policy accommodation will likely be needed to keep the economy operating close to potential and inflation on target. Governing Council will remain cautious in considering future policy adjustments, guided by incoming data in assessing the economy’s sensitivity to interest rates, the evolution of economic capacity, and the dynamics of both wage growth and inflation.

The next scheduled date for announcing the overnight rate target is March 7, 2018. The next full update of the Bank’s outlook for the economy and inflation, including risks to the projection, will be published in the MPR on April 18, 2018.

The Company continued to realize and increase in revenues. The three month ending September 30, 2017 revenues were $4,504,979 as compared to the three-month ending September 30, 2016 of $1,112,116.

Net Income:
Net income for Q3 showed a loss of $35,053 as compared to Q3, 2016 net income loss of 4,363. Among other things, the company continues to focus on increasing licenses in the USA which adds additional costs.

Profitability and Capital Position:
As at September 30, 2017, the Company maintained an overall positive net income and the capital position of the Company continues to be strong.

CFO Appointment
The Company would like to announce that its previous CFO, Nayeem Alli has agreed to take on the appointment as CFO for an interim period until the end of April 2018. Home Capital Selling Non-Core Businesses

TORONTO – October 16, 2017 – Home Capital Group Inc. (“Home Capital” or “the Company”)

(TSX: HCG) today announced it has entered into an agreement with a third party to sell the Company’s payment processing and prepaid card business including its Payment Services Interactive Gateway (PSiGate) subsidiaries. The Company previously announced it had determined to exit these businesses with its Q2 2017 financial results.
“This sale reflects our commitment to focus on our core lending and deposits business to drive future long-term growth,” said Yousry Bissada, President and Chief Executive Officer, Home Capital.

The Company expects approximately $20 million in annual salary and other operating cost savings, as well as a corresponding reduction in fee and other income of approximately $18 million, from exiting these businesses. The resulting impact to net income on a full year basis is insignificant. The Company does not expect any significant costs to complete the sale transaction. Additionally, as part of the agreement, Home has agreed to enter into a transition services agreement and will continue to provide services for certain clients for up to a year, at which time Home Capital will have completely exited this business line. This sale is expected to close in 2017, subject to receipt of necessary third party approvals and customary closing conditions. Raymond James acted as financial advisor to Home Capital in connection with this transaction.

The Company’s wholly owned US subsidiary, First Global Money Inc., has been granted two new Money Transmitter licenses by the States of South Dakota and New Hampshire. First Global now has Money Transmitter licenses in 31 US States.

Home Capital Group’s New Executive Vice President

HOME CAPITAL ANNOUNCES EXECUTIVE LEADERSHIP CHANGES

TORONTO – October 3, 2017 – Home Capital Group Inc. (“Home Capital” or “the Company”) (TSX: HCG) announced today that Edward Karthaus will be joining Home Capital as Executive Vice President, Residential Lending Sales on October 10th. The Company also announced Pino Decina, Executive Vice President, Residential Lending, and Chris Whyte, Executive Vice President & Chief Operating Officer, have departed from their roles at the organization.

The Company does not intend to fill the Chief Operating Officer position. Home Capital, in keeping with its focus on improving its technology and being a leader in that aspect of the mortgage industry, is creating a Chief Information Officer role and has commenced a search for the right candidate.

Mr. Karthaus, who brings extensive financial services and technology experience to this role, will have responsibility for developing and executing on Home Capital’s residential lending sales strategy. “Ed Karthaus has more than 33 years of experience in the technology, financial services and telecommunications industries, and we are excited that he has decided to join Home Capital’s leadership team to help drive our growth as one of Canada’s leading alternative mortgage providers.” said Yousry Bissada, President and Chief Executive Officer of Home Capital.

Edward Karthaus Biography
Ed Karthaus has more than 33 years of experience in the technology, financial services and telecommunications industries. He was previously Executive Vice President, Broker Services at D+H and Executive Vice President, Sales, Marketing & Client Services at Filogix LP. During his time with D+H and Filogix LP, Ed was a frequent speaker at mortgage industry events across the country, and was inducted into the Independent Mortgage Brokers Association of Ontario (IMBA) Hall of Fame, now called Canadian Mortgage Brokers Association (Ontario). He has served on the Board of Directors of the Independent Mortgage Brokers Association of Ontario (IMBA) and the Research, Innovation and Commercialization Centre (RIC Centre). In addition, Ed has held senior executive leadership roles at Prophix Software Inc., NCR Canada Ltd. and Yappn Corp. Ed began his career with Xerox Canada and Oracle Canada.
